Draft for attorney review — not yet effective
This agreement is a working draft prepared for review by a Florida attorney. It has not been executed, no fee or compensation terms are in effect, and nothing here should be relied on as a final or binding term.
This agreement is a draft prepared for review by qualified Florida counsel.
1. Parties. This agreement would govern participation in the Seamless Attorney Network between Seamless Attorney Services ("the Company") and a participating attorney or law firm ("the Participant").
2. Role of the Company. The Company is a marketing and business-services company. It is not a law firm, does not provide legal advice or representation, and does not direct the professional judgment of any attorney.
3. Independent judgment. The Participant independently evaluates and decides whether to contact any person, accept any matter, or decline any opportunity. No representation relationship is created by participation in the network.
4. No guarantees. Participation does not guarantee opportunities, case volume, clients, revenue, or any outcome. Any opportunity offered may be declined.
5. Verification. The Company may review submitted credential, jurisdiction, and practice information before activating an account, and may suspend or deactivate an account for inaccurate information or a failure to meet participation standards.
6. Data and confidentiality. Opportunity information is limited to what is necessary for evaluation. The Participant is responsible for maintaining the confidentiality of any information received and for complying with applicable professional obligations.
7. Fees and compensation. Any fee or compensation arrangement must be separately documented and is subject to review and approval by counsel before taking effect.
8. Compliance. The Participant is responsible for compliance with the rules of professional conduct applicable in each jurisdiction where it practices, including advertising and referral rules.
9. Term and termination. Either party may terminate participation as provided in the final executed agreement.
10. Governing law and review. Final terms, including governing law and dispute resolution, require review by qualified Florida counsel before execution.
